Duties and Obligations of Company Directors
The Directors of Consulting Engineers Board UK Ltd are appointed to uphold the highest standards of governance, transparency and professional accountability. As officers of a registered company in England and Wales, Directors carry both legal duties under the Companies Act 2006 and ethical obligations consistent with the Board's founding principles.
General Duties of Directors
1. Duty to Act Within Powers
Directors must act in accordance with the Board's Articles of Association and exercise powers only for the purposes for which they are conferred.
2. Duty to Promote the Success of the Organisation
Directors must act in the way they consider, in good faith, would be most likely to promote the success of Consulting Engineers Board UK for the benefit of its members and the wider public it serves, having regard to the long-term interests of the organisation, the importance of maintaining high standards of professional conduct, and the impact of the Board's activities on the community and environment.
3. Duty to Exercise Independent Judgement
Directors must exercise independent judgement and act on their own assessment of the best interests of the organisation rather than in accordance with the instructions of any third party, unless authorised to do so.
4. Duty to Exercise Reasonable Care, Skill and Diligence
Directors must exercise the degree of care, skill and diligence that would be exercised by a reasonably diligent person with the general knowledge, skill and experience expected of someone performing their role.
5. Duty to Avoid Conflicts of Interest
Directors must avoid situations in which they have, or could have, a direct or indirect interest that conflicts with the interests of the Board.
6. Duty Not to Accept Benefits from Third Parties
Directors must not accept benefits from third parties that are conferred by reason of their position as a Director, or by reason of any act or omission as a Director.
Specific Obligations to the Board
In addition to their general legal duties, Directors of Consulting Engineers Board UK are expected to:

Attend Board meetings regularly and contribute meaningfully to governance discussions

Support the Board's mission of promoting engineering excellence, academic collaboration and youth development

Uphold and promote the Board's Statement of Ethical Principles in all professional conduct

Act as ambassadors for the Board within the wider engineering, academic and professional community
✓
Ensure the financial integrity and responsible management of the Board's resources
✓
Maintain confidentiality in respect of all Board proceedings and member information
✓
Resign from the Board if they are no longer able to fulfil their duties and obligations

All Directors are accountable to the membership of Consulting Engineers Board UK and to the wider public benefit objectives of the organisation. The Board is committed to conducting its affairs with full transparency and in accordance with applicable UK law and professional standards.
